Merchant Terms and Conditions

These Terms explain the rules for selling, promoting, and rewarding students through Spendbyte. We built the platform around a simple idea: when you put students first with real savings, loyalty rewards, and fair promotions, you earn loyal customers. These Terms keep that experience trustworthy for both you and the students you serve.

1.Acceptance of Terms

These Merchant Terms and Conditions (the “Terms”) form a binding agreement between you, your business (“Merchant,” “you”), and Spendbyte (“Spendbyte,” “we,” “us”). They govern your access to and use of the Spendbyte merchant platform, dashboard, and related services (the “Merchant Services”). By creating a merchant account or using the Merchant Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Merchant Services.

2.Merchant Eligibility

  • You must operate a lawful business and be authorised to bind that business to these Terms.
  • You must provide accurate business details, including a valid phone number, shop information, and any registration or tax identifiers we request.
  • You are responsible for ensuring your products and services comply with the laws of Ghana and any other jurisdiction where you operate.

3.Your Merchant Account

  • Access is passwordless. You sign in with your phone number and a one-time code, so you are responsible for keeping your phone and number secure.
  • You are responsible for all activity that happens under your account, including actions taken by staff you grant access to.
  • You agree to keep your business and shop details current so that students see accurate information.

4.Listing Offers, Promotions and Rewards

The Merchant Services let you create offers such as discounts, loyalty point rewards, limited drops, and game or ad linked rewards. When you publish an offer, you agree that:

  • The offer is genuine, honoured in full, and described clearly, including any validity window, claim limit, and conditions.
  • You will accept valid claims and redemptions presented by students within the stated terms of the offer.
  • You will not advertise an offer you cannot fulfil or use offers to mislead students.

We may review, decline, or remove an offer that breaches these Terms or our content guidelines.

5.Loyalty Points and Redemptions

Students earn and redeem loyalty points and rewards through Spendbyte. You agree to honour point redemptions and reward claims at the value and terms you configure. Point balances and redemption records shown in the platform are the reference of record for settling redemptions, and you agree not to charge students extra fees for redeeming a valid reward.

6.Games and Advertising

You may promote your business through Spendbyte games (such as treasure hunts and secret game invites) and through ad creatives that students watch to unlock a reward. You are responsible for the content and accuracy of any creative you provide, and you confirm that you hold the rights to all media you upload.

We may apply frequency limits, placement rules, and review standards to protect the student experience.

7.Fees and Settlement

Any fees, commissions, or settlement terms that apply to your use of the Merchant Services will be disclosed to you before they take effect. Where funds are collected on your behalf, we will settle them to you according to the schedule and method we communicate. Taxes arising from your sales are your responsibility.

8.Your Responsibilities

  • Comply with all applicable laws, including consumer protection rules.
  • Treat students fairly and resolve complaints about your offers and service promptly.
  • Keep your account credentials and any access tokens confidential, and tell us quickly if you suspect unauthorised access.
  • Do not misuse the platform, attempt to access it in unauthorised ways, or interfere with its operation.

9.Student and Customer Data

Through the platform you may access limited data about transactions, redemptions, and aggregate spending behaviour. You agree to use this data only to operate your offers and serve your customers, to keep it secure, and not to sell it or use it for unrelated purposes. Your handling of any personal data is also governed by our Privacy Policy and applicable data protection law.

10.Suspension and Termination

You may stop using the Merchant Services at any time. We may suspend or terminate your access if you breach these Terms, create risk for students or the platform, or are required to do so by law. Where practical, we will give you notice and a chance to address the issue.

11.Disclaimers and Liability

The Merchant Services are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Spendbyte is not liable for indirect or consequential losses, and our total liability arising from the Merchant Services is limited to the fees you paid to us in the three months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

12.Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the date above and, where appropriate, notify you in the platform. Your continued use of the Merchant Services after a change takes effect means you accept the updated Terms.
